MAIRE announced on 21 February 2024 that NEXTCHEM has finalized the acquisition of 80% of HyDEP S.r.l. and 100% of Dragoni Group S.r.l. through its subsidiary NextChem Tech. Both Italy-based companies are engineering service providers specializing in mechanical and electrochemical sectors, particularly in green hydrogen technology. The acquisition aims to combine NEXTCHEM’s technological expertise with HyDEP and Dragoni Group’s competencies to develop solutions for green hydrogen production. The purchase price for the two stakes is approximately €3.6 million.
HyDEP and Dragoni Group, with over two decades of experience, offer a wide range of services in process design, mechanical design, validation, prototyping, and certification of water electrolysis systems. The companies will continue to operate independently within their respective markets, with founders Mario and Matteo Dragoni remaining involved in management. HyDEP’s experience in designing small-scale electrolysis systems will contribute to developing a hydrogen-based retail network for small-medium enterprises and the mobility sector.
The agreement includes an earn-out clause based on technical objectives achievement within 30 months from closing, as well as put and call options on the remaining 20% stake in HyDEP exercisable within 36 months.
